Just a quick reminder for companies about the Say on Pay Frequency vote. Companies are required to put their Say on Pay Frequency to a shareholder vote at least once every six years.

Companies that were around when the Say on Pay rules became effective had their first Say on Pay Frequency vote in 2011 and their second Say on Pay Frequency vote in 2017. So their next Say on Pay Frequency vote should then be this year (2023).

Companies should check to ensure their proxy statements include the Say on Pay Frequency vote if this is the start of their next 6-year period for purposes of putting the Say on Pay Frequency to a shareholder vote.
